Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Suuuper website and interface (the "Interface"). By accessing or using the Interface, you agree to be bound by these Terms. If you do not agree, do not use the Interface.

1. What Suuuper Is (and Is Not)

1.1. The Interface is a non-custodial software application that displays information aggregated from public blockchains and third-party services, including token prices, quotes from decentralized exchanges and aggregators ("Third-Party Services"), and estimated routing outcomes.

1.2. Suuuper is an interface only. Suuuper does not execute trades, does not hold, custody, or control your tokens or private keys at any time, does not act as your agent, broker, dealer, advisor, or fiduciary, and is not a counterparty to any transaction. Every transaction is constructed for your review and is executed only if and when you independently sign and submit it from your own wallet. You alone decide whether to submit any transaction.

1.3. Certain routes may interact with smart contracts whose source code is published and verifiable on public block explorers, including a settlement contract that may charge a protocol fee disclosed in the Interface. Smart contracts operate autonomously on public blockchains. Once you sign and broadcast a transaction, it cannot be reversed, canceled, or modified by Suuuper or anyone else.

1.4. Quotes, prices, estimated outputs, fees, fill times, and routes shown in the Interface are estimates derived from third-party data and on-chain state at a moment in time. They are not offers, guarantees, or advice. Actual execution results may differ due to market movement, slippage, network conditions, third-party behavior, and other factors outside Suuuper's control.

1.5. Cross-chain functionality relies on third-party bridge protocols and their independent relayer networks. Suuuper does not operate any bridge or relayer, cannot influence fill times or outcomes, and makes no representation that any cross-chain transfer will complete or complete at the estimated amount or time.

2. Eligibility and Prohibited Uses

2.1. You must be at least 18 years old and legally capable of entering into these Terms.

2.2. You may not use the Interface if you are a resident of, located in, or organized under the laws of any jurisdiction where use would be unlawful, or if you are subject to sanctions or listed on any list of prohibited or restricted parties maintained by any governmental authority, including OFAC, the United Nations Security Council, or the European Union.

2.3. You may not use the Interface: (a) for any unlawful purpose, including money laundering, terrorist financing, market manipulation (including spoofing and wash trading), or fraud; (b) to circumvent these Terms or any technical restriction, including through VPNs or similar tools; (c) to interfere with, exploit, attack, or reverse engineer the Interface; (d) to transmit malicious code; or (e) to scrape, harvest, or misuse data from the Interface.

2.4. It is your sole responsibility to determine whether your use of the Interface is lawful in your jurisdiction and to comply with all applicable laws, including tax laws. All tax obligations arising from your transactions are yours alone.

3. Wallets and Self-Custody

3.1. To transact, you connect a self-custodial wallet provided by a third party. You are solely responsible for your wallet, private keys, seed phrases, and their security. Suuuper never has access to them and cannot recover them.

3.2. Your use of any wallet is governed by that wallet provider's own terms. Suuuper is not responsible for any wallet software.

4. Fees

4.1. The Interface discloses applicable fees before you sign, which may include a protocol fee on routes settled through the settlement contract and integrator fees on transactions executed through certain Third-Party Services. You will also pay network (gas) fees and any fees charged by Third-Party Services; these belong to the networks and third parties, not Suuuper.

4.2. Fees may change at any time. The fee shown in the Interface at the time you sign is the fee that applies to that transaction.

5. Third-Party Services

5.1. The Interface displays data from and constructs transactions that interact with Third-Party Services, including decentralized exchanges, aggregators, bridges, and price feeds. These are independent services that Suuuper does not own, operate, control, endorse, or warrant.

5.2. Quotes and routes attributed to Third-Party Services reflect data those services provided. Suuuper is not responsible for the accuracy, availability, legality, or performance of any Third-Party Service. Your interactions with Third-Party Services may be subject to their own terms and policies.

6. Risks

You acknowledge and accept the risks described in the Disclaimer, which is incorporated into these Terms by reference, including risks of total loss of funds from market volatility, smart contract defects, bridge or relayer failure, blockchain failure, wallet compromise, and regulatory action. You use the Interface at your own risk.

7. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE INTERFACE IS PROVIDED "AS IS," "WHERE IS," AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, OR SECURITY. SUUUPER DOES NOT WARRANT THAT THE INTERFACE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY QUOTE, ESTIMATE, OR ROUTE WILL BE ACHIEVED IN EXECUTION.

8. Limitation of Liability

8.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SUUUPER OR ITS OWNERS, OPERATORS, DEVELOPERS, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, TOKENS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE INTERFACE, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE CUMULATIVE LIABILITY OF SUUUPER FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE INTERFACE WILL NOT EXCEED THE LESSER OF (A) THE PROTOCOL FEES ACTUALLY RECEIVED BY SUUUPER FROM THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED U.S. DOLLARS (US$100).

8.3. If you are dissatisfied with the Interface, your sole and exclusive remedy is to stop using it.

9. Indemnification

You agree to defend, indemnify, and hold harmless Suuuper and its owners, operators, developers, contractors, and affiliates from and against all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Interface, your transactions, your violation of these Terms, or your violation of any law or the rights of any third party.

10. Dispute Resolution; Arbitration; Class Action Waiver

10.1. Any dispute arising out of or relating to these Terms or the Interface will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration is the State of Florida, USA. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles.

10.2. YOU AND SUUUPER EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION. All disputes must be brought in an individual capacity only.

10.3. Any claim must be commenced within one (1) year after the cause of action accrues or it is permanently barred.

10.4. Nothing in this section prevents Suuuper from seeking injunctive relief in a court of competent jurisdiction to protect its intellectual property or the security of the Interface.

11. Intellectual Property; Feedback

The Interface, including its design, text, and branding, is the property of Suuuper or its licensors. You are granted a limited, revocable, non-exclusive, non-transferable license to use the Interface for personal, non-commercial purposes. Open-source smart contracts and third-party protocols are not Suuuper's property. If you provide feedback, you grant Suuuper a perpetual, irrevocable, royalty-free license to use it without restriction or attribution.

12. Modifications; Availability

Suuuper may modify these Terms, or modify, suspend, restrict, or discontinue any part of the Interface, at any time without notice, including restricting availability by geography at its sole discretion. Changes are effective when posted. Your continued use constitutes acceptance.

13. General

These Terms are the entire agreement between you and Suuuper regarding the Interface. If any provision is held unenforceable, the remainder stays in effect and the provision will be modified to the minimum extent necessary. Suuuper's failure to enforce any provision is not a waiver. You may not assign these Terms; Suuuper may assign them without restriction. Section headings are for convenience only.

Support and inquiries are provided exclusively via 𝕏 @Suuuperxyz. Suuuper does not offer support through any other channel, and no statement made anywhere other than the Interface or @Suuuperxyz should be relied upon.
